
Resolution of complex scenarios
Investment in companies is never simple. However there are often complex transaction opportunities which require specific knowledge, expertise and experience, in addition to the ability to mobilise resources to prepare for and even construct the deal.
Argos Soditic focuses primarily on this type of operation, notable examples of which include:
- MBI/BIMBO, often involving disposals led by the main shareholder, when the complexity of integrating a new management team adds to that of a change in shareholding structure.
- Spin-offs, involving disposals by large groups where the entity sold is often not completely autonomous but relies on resources shared with its parent company (information systems, distribution networks, suppliers, etc.). In this instance, operations need to be completely overhauled, often over several years.
- Deals for companies with structures that are complex due to their organisation, either because activities for sale are linked to activities that the seller wants to retain, or because groups have several activities, meaning they lack strategic and operational clarity.
- Situations of unstable shareholdings, whether due to conflicts or disagreements over the direction of the company or to shareholder structures that are no longer compatible with the managers’ strategic vision (e.g. a family shareholding faced with a need to finance a merger or takeover).
